These terms explain the rules for using the SoftwareRoad website, WordPress plugins, documentation, licences, subscriptions and product support.
About these terms
SoftwareRoad is operated by ComputerSluggish. References in these terms to “SoftwareRoad”, “ComputerSluggish”, “we”, “us” or “our” mean ComputerSluggish when operating the SoftwareRoad website and SoftwareRoad products.
These Terms and Conditions apply when you:
- Visit or use the SoftwareRoad website
- Purchase or renew a SoftwareRoad subscription
- Download, install, activate or use a SoftwareRoad plugin
- Access SoftwareRoad documentation or product support
- Use any other service provided through SoftwareRoad
By purchasing, downloading, installing, activating or using a SoftwareRoad product, you confirm that you have read and agreed to these terms.
If you are purchasing on behalf of a company, charity, organisation or client, you confirm that you have authority to accept these terms on its behalf.
If you do not agree to these terms, do not purchase, download, install, activate or use a SoftwareRoad product.
Definitions
Website and documentation
The SoftwareRoad website and documentation are provided to explain our products and offer general guidance about installing, configuring and using them.
We make reasonable efforts to keep website content, product information and documentation accurate. However, WordPress, hosting environments, themes, plugins and third-party services change over time. We cannot guarantee that every guide will remain suitable for every website or configuration.
Documentation and support information do not replace professional technical, legal, financial, security or data protection advice.
You are responsible for deciding whether instructions are suitable for your website and for taking appropriate precautions before following them.
We may correct, update, replace or remove website content and documentation where information becomes inaccurate, outdated or no longer relevant.
Orders, prices and purchases
Product features, plan allowances, subscription periods and prices are shown on the SoftwareRoad website and checkout page at the time of purchase.
You are responsible for checking that the selected Product and plan meet your requirements before completing payment.
A purchase is accepted when payment has been successfully processed and we provide confirmation or access to the Product. We may reject or cancel an order where:
- Payment has failed or been reversed
- We reasonably suspect fraud, misuse or unauthorised activity
- Incorrect pricing or product information was displayed
- The Product is unavailable
- The purchase breaches these terms
If we cancel an accepted order before supplying the Product, we will return the amount paid for that order.
Payments are processed by Stripe or another payment provider shown during checkout. You may also be required to accept the payment provider’s own terms.
Taxes may be included or added where required. The total amount payable will be shown before payment is completed.
Plugin licence
SoftwareRoad Products are licensed, not sold. Purchasing a Subscription does not transfer ownership of the plugin, source code, documentation, branding or other intellectual property to you.
While your Subscription remains active and you comply with these terms, we grant you a limited, non-exclusive, non-transferable and revocable licence to:
- Download and install the purchased Product
- Use it on the number of websites included with your plan
- Use it for your own website or authorised client websites
- Access updates and product support included with your plan
- Make reasonable internal backup copies of the downloaded file
The number of permitted websites is shown on the Product page, checkout page and purchase confirmation.
Each activated website counts towards your plan allowance unless the Product documentation expressly states otherwise.
You may move an activation from one website to another by deactivating the original website before activating the replacement website.
You receive permission to use the Product under these terms. SoftwareRoad and ComputerSluggish retain all ownership and intellectual property rights.
Licence restrictions and prohibited use
Unless we have given prior written permission, you must not:
- Sell, resell, rent, lease, lend, sublicense or redistribute the Product or Licence Key
- Share your Licence Key publicly or with an unauthorised person
- Use the Product on more websites than your plan allows
- Circumvent, disable, interfere with or attempt to bypass licence activation or subscription checks
- Copy, reproduce or distribute the source code
- Reverse engineer, decompile or disassemble the Product except where applicable law expressly permits it
- Modify the Product for the purpose of creating or distributing a competing product
- Remove or alter copyright, ownership, licence or security notices contained within the Product
- Present the Product as software created or owned by you
- Use the Product for unlawful, fraudulent, abusive or harmful purposes
- Use automated extraction, scraping or copying to reproduce substantial parts of our website, documentation or Product
- Use our source code, documentation or protected content to train, develop or improve a competing commercial product without written permission
You may configure and customise the Product through the settings and features we provide. This does not give you permission to copy, redistribute or claim ownership of the Product itself.
Licence keys and activation
A valid Licence Key and active Subscription may be required for the Product to work.
The Product may communicate with the SoftwareRoad licensing system to:
- Activate or deactivate a website
- Confirm that the Subscription remains active
- Confirm the Product and plan purchased
- Check the number of active websites
- Provide access to Product updates
- Prevent fraud, unauthorised use or licence sharing
You are responsible for keeping your Licence Key and account information secure.
You must contact SoftwareRoad promptly if you believe your Licence Key has been exposed, stolen or used without permission.
We may replace, reset, deactivate or suspend a Licence Key where reasonably necessary to protect the Product, licensing system or customer account.
Subscriptions and automatic renewal
SoftwareRoad Knowledge Base plans are yearly subscriptions unless a different billing period is clearly shown at checkout.
Your Subscription will automatically renew at the end of each billing period unless you cancel automatic renewal before the renewal payment is processed.
By purchasing a recurring Subscription, you authorise the payment provider to charge the payment method saved for future renewal payments.
You can cancel automatic renewal using the cancellation method provided through your payment confirmation, customer portal or by contacting SoftwareRoad support.
Cancelling automatic renewal does not immediately end your paid Subscription. The Subscription will normally remain active until the end of the billing period you have already paid for.
When the Subscription expires:
- The Licence Key may become inactive
- The Product may stop working
- Access to updates may end
- Product support may no longer be available
We may change the price of a future renewal. Where required by law, or where the change is material, we will provide reasonable notice before the new price is charged.
If a renewal payment fails, we or the payment provider may retry the payment. The Subscription may be suspended or expire if payment is not completed.
Product delivery
Product access, Licence Keys and activation instructions will normally be sent to the email address used during checkout.
You are responsible for providing a valid email address and checking that the information entered during checkout is correct.
If an email does not arrive, check your junk or spam folder before contacting support.
You must contact us within a reasonable period if you have paid but have not received your Product access or Licence Key.
We are not responsible for delays caused by an incorrect email address, email filtering, third-party email providers or circumstances outside our reasonable control.
Cancellation and refunds
Cancelling automatic renewal
You may cancel automatic renewal at any time before the next renewal payment is processed.
Unless a refund is required by law or expressly agreed by us, cancelling automatic renewal does not provide a refund for the remaining part of a billing period that has already been paid.
Consumer cancellation rights
If you are a Consumer, you may have legal cancellation rights when purchasing online.
Because Product downloads, Licence Keys and activation access may be provided immediately, we may ask you to:
- Expressly request that digital content or services begin before the normal cancellation period ends
- Confirm that you understand how immediate supply may affect your cancellation rights
Where immediate digital content has been supplied with the consent and acknowledgement required by law, your right to cancel that digital content may be lost or affected.
Where a service has started at your request and you retain a cancellation right, we may deduct a proportionate amount for the service already supplied where the law allows us to do so.
Faulty or incorrectly described Products
Nothing in these terms limits your statutory rights. If a Product is faulty, not as described or does not meet legal requirements, contact SoftwareRoad support.
Depending on the circumstances and applicable law, you may be entitled to a repair, replacement, price reduction or refund.
Refund requests
Refunds are not normally provided simply because:
- You changed your mind after valid digital access was supplied
- You no longer need the Product
- You purchased the wrong plan without checking the description
- The Product does not include a feature that was not advertised
- Your theme, hosting provider or another plugin causes a conflict
- You failed to cancel automatic renewal before payment
This does not affect refunds, remedies or cancellation rights that must be provided by law.
No wording on this page removes legal rights or remedies that cannot lawfully be excluded.
Your responsibilities
You remain responsible for your WordPress website, hosting account, data, content, security, legal compliance and administrative access.
Before installing, updating or making significant configuration changes, you must:
- Create a complete and restorable backup of your website
- Back up the website database and files
- Check that your hosting account meets the Product requirements
- Review the Product documentation and update notes
- Test changes on a staging website where reasonably possible
- Keep WordPress, themes and other plugins appropriately updated
- Restrict administrator access to trusted people
- Check the website after installing or updating the Product
SoftwareRoad does not host or control your WordPress website and cannot guarantee that your hosting provider, backup system or restoration process will work.
You are also responsible for:
- Ensuring that content published through the Product is lawful
- Obtaining permission to use images, text and other content
- Providing suitable privacy and cookie information to visitors
- Following data protection, accessibility and consumer laws
- Reviewing settings that affect URLs, search, analytics, visibility or website access
- Preventing unauthorised access to private or unlisted content
Compatibility, third-party services and results
WordPress websites vary depending on their hosting, server configuration, WordPress version, theme, plugins, custom code, caching, security systems and third-party services.
We cannot guarantee that a Product will:
- Work with every theme, plugin, page builder or hosting provider
- Remain compatible with every future WordPress update
- Work with unsupported or heavily modified installations
- Produce a particular commercial, traffic, SEO or support result
- Prevent all errors, downtime, attacks or data loss
- Meet requirements that were not stated in the Product description
References or links to WordPress, Stripe, hosting companies, themes, plugins and other third-party services do not mean that we control or guarantee those services.
We are not responsible for changes, outages, restrictions, pricing, data processing or decisions made by third-party providers.
Updates, maintenance and support
Product updates
Product updates are included while your Subscription remains active.
Updates may include security changes, compatibility improvements, bug fixes, design changes, feature improvements or changes needed to meet technical or legal requirements.
We may add, change, replace or remove Product features where reasonably necessary for security, compatibility, maintenance, legal compliance or continued development.
You are responsible for reviewing update information, maintaining backups and checking the Product after an update has been installed.
Product support
Product support is included while your Subscription is active and covers reasonable questions about:
- Installing and activating the Product
- Using the Product settings and included features
- Resolving reproducible Product errors
- Managing your Licence Key and website activations
Product support does not normally include:
- General WordPress administration or training
- Custom development or custom CSS
- Repairing unrelated themes, plugins or hosting problems
- Recovering a damaged or hacked website
- Restoring customer backups
- Legal, accessibility, SEO or data protection advice
- Logging in to a website where we consider access unsafe
We will make reasonable efforts to respond to support requests, but no guaranteed response or resolution time applies unless we have expressly agreed one in writing.
Availability
The website, licensing system, downloads and support services may occasionally be unavailable because of maintenance, updates, faults, security work or events outside our reasonable control.
Intellectual property and copyright
SoftwareRoad, ComputerSluggish and their licensors retain all rights, ownership and intellectual property relating to:
- SoftwareRoad plugins and source code
- Licence and activation systems
- Website designs, graphics, icons and screenshots
- Documentation, articles, videos and written content
- Product names, logos, branding and trademarks
- Databases, layouts, product concepts and original materials
You may view the website, use the documentation for your own Product use and make normal internal reference copies.
You must not copy, reproduce, republish, sell, distribute, scrape, mirror, frame or commercially exploit substantial parts of our website, documentation or Products without prior written permission.
Short quotations may be used for legitimate commentary or review where permitted by law, provided that the material is not misleading and SoftwareRoad is properly credited.
Your content
You retain ownership of articles, images and other content that you create or upload to your own WordPress website.
You are responsible for ensuring that your content does not infringe copyright, trademarks, privacy rights or other rights belonging to another person.
Feedback
If you voluntarily provide ideas, suggestions or feedback, you allow us to use that feedback to improve SoftwareRoad without payment or an obligation to implement it.
This does not transfer ownership of confidential material or content already owned by you.
Privacy and data protection
Our collection and use of personal information is explained in the SoftwareRoad Privacy Policy .
Information about website cookies and similar technologies is also included in that policy and through any cookie settings tool provided on the website.
When you install a SoftwareRoad Product on a website, you remain responsible for personal information collected or processed through that website.
You must decide whether Product features such as article views, search analytics, helpfulness voting, access controls or third-party integrations require changes to your own privacy information, cookie settings or visitor consent process.
Suspension and termination
You may stop using the Product at any time and may cancel future Subscription renewal as described in these terms.
We may suspend access, activation, updates or support where we reasonably believe that:
- Payment is overdue, reversed or disputed
- A Licence Key has been shared, resold or misused
- The Product is activated beyond the plan allowance
- You have attempted to bypass or interfere with licensing
- Your use creates a security or legal risk
- You have seriously or repeatedly breached these terms
Where reasonably possible, we will provide notice and an opportunity to resolve the issue before permanently terminating access.
Immediate suspension may be used where necessary to prevent fraud, unauthorised use, security harm or unlawful activity.
If access is terminated because of your serious breach, you may not be entitled to a refund, except where a refund is required by law.
When the Subscription expires or is terminated, the Product may stop working and you must stop using any access that depended on the active Licence Key.
Terms relating to ownership, intellectual property, payment obligations, liability and dispute resolution continue to apply after termination where relevant.
Disclaimers and limitation of liability
This section limits our responsibility where the law allows us to do so. It does not exclude liability or consumer rights that cannot legally be excluded.
Nothing in these terms excludes or limits any liability, statutory right or legal remedy that cannot lawfully be excluded or limited.
Use of the Product
Subject to the rights and responsibilities that cannot legally be excluded, you use the Product at your own discretion and remain responsible for your website, backups, configuration and decisions.
We do not guarantee that the Product will be uninterrupted, error-free, completely secure or compatible with every WordPress environment.
We are not responsible for loss or damage caused by:
- Your failure to create or test a suitable backup
- Incorrect installation, configuration or use
- Ignoring Product documentation or warnings
- Unauthorised modification of the Product
- A theme, plugin, page builder, server or hosting conflict
- WordPress or third-party software changes
- Malware, hacking or unauthorised website access not caused by our failure to use reasonable care
- Content or code added by you or another person
- Your use of an outdated or unsupported Product version
- Events outside our reasonable control
Consumers
If you are a Consumer, we are responsible for loss or damage that is a foreseeable result of our breach of these terms or our failure to use reasonable care and skill.
We are not responsible for loss or damage that was not reasonably foreseeable when the contract was formed.
We supply Products to Consumers for private use. We are not responsible to a Consumer for business losses, including lost profits, lost revenue, business interruption or loss of business opportunity.
Business Customers
To the fullest extent permitted by law, SoftwareRoad and ComputerSluggish will not be liable to a Business Customer for:
- Loss of profit, sales, revenue or business
- Loss of anticipated savings
- Loss of contracts, customers or business opportunities
- Loss of goodwill or reputation
- Loss, corruption or restoration of data
- Website downtime or business interruption
- Indirect, special or consequential loss
- Costs of replacement software, developers, hosting or website recovery
To the fullest extent permitted by law, our total liability to a Business Customer arising from the affected Product or Subscription will not exceed the amount paid for that Product during the 12 months before the event giving rise to the claim.
No double recovery
You cannot recover compensation more than once for the same loss.
Business Customer indemnity
This section applies only to Business Customers.
A Business Customer will be responsible for reasonable losses, costs and third-party claims arising directly from:
- Its unlawful use of the Product
- Its unauthorised copying or distribution of the Product
- Content uploaded or published through its website
- Its breach of intellectual property, privacy or data protection obligations
- Its serious breach of these terms
This section does not require a Business Customer to compensate us for loss caused by our own negligence, breach or unlawful conduct.
Changes to Products and these terms
We may update these terms when our Products, prices, subscriptions, website, service providers or legal obligations change.
The latest version will be published on this page and the “Last updated” date will be changed.
Where a change materially affects an active Subscription, we will take reasonable steps to provide notice where required by law.
Changes will not remove rights that you have already acquired under mandatory law.
Governing law and disputes
These terms and any dispute or claim relating to them are governed by the laws of England and Wales.
If you are a Consumer living in another part of the United Kingdom, you retain any mandatory legal protections available to you and may be able to bring proceedings in the courts where you live.
If you are a Business Customer, the courts of England and Wales will have exclusive jurisdiction over disputes relating to these terms, the website, a Product or a Subscription.
Before starting formal proceedings, both parties should make reasonable efforts to resolve the dispute by contacting the other party and clearly explaining the problem.
General terms
Entire agreement
If you are a Business Customer, these terms, the Product description, checkout information and any written terms agreed by us form the entire agreement relating to your purchase.
Nothing in this section excludes liability for fraud or fraudulent misrepresentation.
Severability
If a court or authority finds that part of these terms is invalid or unenforceable, the remaining terms will continue to apply.
No waiver
If we do not immediately enforce a right under these terms, that does not mean that we have given up that right.
Assignment
You may not transfer your Subscription, Licence Key or rights under these terms without our prior written permission.
We may transfer our rights and obligations as part of a sale, transfer or reorganisation of SoftwareRoad or ComputerSluggish, provided that this does not reduce mandatory rights belonging to a Consumer.
Third-party rights
A person who is not a party to these terms does not have the right to enforce them, except where the terms expressly state otherwise.
Events outside our control
We are not responsible for delays or failures caused by events outside our reasonable control, including hosting outages, internet failures, power failures, cyberattacks, payment provider outages, natural disasters, government action or widespread third-party service failures.
